The chipset on the motherboard are usually cooled passively, or by a small (noisy) fan. Under normal circumstances, this will provide sufficient cooling.
But in overclocked systems, it may be on the low side when the heat generation increases and the temperature rises. Especially if you want a passive system and / or do not have much airflow in the cabinet. Then you need to consider water cooling for your system.
