The chipset on the motherboard is usually cooled passively, or by a small (noisy) fan. Under normal circumstances this will provide sufficient cooling.

But in overclocked systems, it may be on the low side when heat generation increases and the temperature rise. Especially if you want a passive system and/or do not have much airflow in the cabinet, you have to consider water cooling for your system.
